A Red Herring Prospectus covering Zetwerk's planned initial public offering has been lodged with the relevant authorities. The Bengaluru-based manufacturing platform also lodged an updated draft red herring prospectus with regulators, putting its target fundraise at Rs 2,600 crore.
A revised fresh issue size of Rs 2,830 crore was set by the company for the offering, a figure Rs 230 crore above what was disclosed in the updated draft filings. Growth in the offer-for-sale portion has outpaced what the fresh issue recorded over the same period.
The offer-for-sale component of Zetwerk's filing was revised upward to 14.45 crore shares, a count roughly 49% above the 9.68 crore shares set out in the draft prospectus lodged in August. Promoter-side holdings contributed roughly 5.14 crore shares to the offer-for-sale portion of the transaction.
Subscription windows for the IPO run across five days, opening on 15 October 2026 and closing on 19 October 2026. The anchor process opens its bidding window a day earlier, with 14 October marked as the start date.
A combined divestment of 2.84 crore shares is set to proceed, with Amrit Pratik Acharya and Srinath Ramakkrushnan each offloading 1.42 crore of their respective holdings. A stake of as many as 2.30 crore shares held by promoter group entity Creovate Innovation is also set to be divested.
Of the current investors, Lightspeed Venture Partners carries the heaviest disposal burden, with a stake reduction of 2.51 crore shares lined up for the offering. A divestiture of 2.34 crore shares is set to be carried out by Peak XV Partners. Between them, Kae Capital Fund and Kalysta Capital Fund have placed a combined ceiling of 1.67 crore shares available for offloading, while a stake of as many as 1.2 crore shares is set to be divested by Accel India V as part of the transaction.
Of the funds being raised through the fresh issue, Rs 1,300 crore has been earmarked by Zetwerk for settling or retiring debt held at the corporate level. Debt obligations across nine subsidiary companies are set to absorb a further Rs 860 crore in repayments, meaning debt repayment obligations alone absorb Rs 2,160 crore across the two tranches of the Rs 2,830 crore fresh issue. Funds remaining after those distributions are designated to cover acquisitions, strategic investments, and broader operational needs.
The company took shape in 2017, brought into existence through the combined efforts of Acharya and Ramakkrushnan. A digital platform built around technology sits at the heart of its operations, linking commercial clients to networks of manufacturers and suppliers. Its operations span five distinct fields: energy, electronics, aerospace, defence, and industrial automation.
Industry observers note that procurement timelines in these fields tend to stretch out, given the layered nature of their supply chains and the time needed to qualify new vendors.
Turnover from ongoing operations climbed to Rs 15,913 crore during FY26, up from Rs 11,332 crore recorded in the preceding financial year. Operational revenue for the first quarter of FY27 reached Rs 4,118 crore, a figure that marks a 55% increase against the same period a year earlier. Quarterly net losses tied to ongoing operations narrowed to Rs 64 crore, down from Rs 881 crore in the same period a year before, a contraction of 93%.
