Anthropic Files Confidential IPO with SEC, Targets $2 Trillion Valuation

Anthropic submitted a confidential Form S-1 filing to the SEC on 1 June, taking a formal step toward a public stock offering. According to reports, the firm is seeking a valuation of around $2 trillion, a figure that would place it ahead of SpaceX's $1.77 trillion and set a new record for an initial public offering. Anthropic's annualized revenue run rate stood at over $65 billion by late July, a figure that represents more than twice the $965 billion valuation the company received following its most recent private funding round in May, while the same metric was approximately $9 billion at the close of 2024. Revenue expansion was attributed to wider uptake of Claude — its suite of large language models and AI assistants — by corporate clients, broader embedding of its application programming interfaces (APIs) across third-party platforms, and cloud infrastructure agreements with Amazon Web Services (AWS) and Google Cloud, a division of Alphabet. Both Amazon and Alphabet hold double-digit ownership stakes in Anthropic, meaning its planned stock market listing has the potential to influence each company's financial returns. According to reports, Nvidia has been weighing a $10 billion stake in Anthropic's public offering as a way to deepen its software optimisation collaboration and strengthen shared supply chain arrangements. Anthropic has reported operating at a profit on an "adjusted" basis during the second quarter of 2026 and anticipates sustaining that position through the third quarter. Questions remain about precisely what the "adjusted" number encompasses. Absent a public S-1 filing, the company may well remain loss-making under GAAP standards, which capture equipment depreciation, interest obligations, revenue-sharing arrangements with Amazon and Google, and model training expenditures that are typically excluded from reported "adjusted" profit figures. Anthropic's co-founder and CEO, Dario Amodei, has advocated for a deceleration in AI advancement to allow time for more robust safety protocols to be established. OpenAI, a leading rival in the field, has raised comparable concerns and put its own public listing on hold. The development has prompted uncertainty about whether Anthropic will proceed with an IPO before the year concludes. At a $2 trillion market capitalisation, the firm's implied price-to-revenue multiple would stand at roughly 31 times its most recently disclosed annualised revenue run rate. Higher borrowing costs may place downward pressure on those valuations while drawing attention to its accumulated debt and ongoing losses.
